Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vitalitek healthcare integration platform and related services (collectively, the "Service") provided by Vitalitek, Inc. ("Vitalitek," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Vitalitek provides a multi-tenant healthcare automation platform that integrates with third-party services including Boulevard, Qualiphy, and GoHighLevel. Our Service includes:

• Superbill creation, management, and delivery
• Automated billing code lookup and validation
• Integration with appointment and patient management systems
• Webhook-based workflow automation
• Organization and user management

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Be at least 18 years of age or the age of majority in your jurisdiction

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service for any purpose that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Transmit any malicious code, viruses, or harmful content
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without authorization

5. Data Ownership

You retain ownership of all data you input into the Service, including patient information, superbill data, and organization configurations. We do not claim ownership of your data. You grant us a limited license to use your data solely to provide and improve the Service.

6. Third-Party Integrations

The Service integrates with third-party platforms (Boulevard, Qualiphy, GoHighLevel). Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or policies of third-party services.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance, updates, or modifications that temporarily affect Service availability. We will provide reasonable advance notice of planned downtime when possible.

8. Limitation of Liability

To the maximum extent permitted by law, Vitalitek shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Vitalitek, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination

Either party may terminate the Service at any time. Upon termination, your right to use the Service ceases immediately. We will provide a reasonable period for you to export your data. Provisions that by their nature should survive termination will remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
